Terms of Service

1. Acceptance of Terms

By accessing or using Sparq Academy (the "Platform") at https://sparqacademy.in, operated by Sparq IT Services (India) ("we", "our", or "Company"), you confirm that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms constitute a legally binding agreement between you and Sparq IT Services (India) under the Information Technology Act, 2000 and its applicable rules.

2. Eligibility

To use this Platform, you must:

• Be at least 18 years of age, or have obtained verified parental/guardian consent.
• Have the legal capacity to enter into a binding contract under Indian law.
• Not be barred from receiving services under applicable law.

By registering, you represent and warrant that all information you provide is accurate, current, and complete.

3. Account Registration & Security

Sparq Academy uses Google OAuth for secure authentication. By registering, you authorise us to retrieve your basic profile information (name, email, profile picture) from Google solely for account creation purposes.

• You are solely responsible for maintaining the confidentiality of your account.
• You must notify us immediately at support@sparqacademy.in of any unauthorised access.
• One account per individual. Creating multiple accounts to circumvent access restrictions or bans is prohibited.
• Account sharing, credential resale, or group-buying access to any course is strictly prohibited and will result in immediate permanent account termination without refund.

4. Intellectual Property Rights

All content on this Platform — including but not limited to course videos, execution frameworks, SOPs, Notion templates, worksheets, slide decks, written materials, branding, and software — is the exclusive intellectual property of Sparq IT Services (India) and is protected under the Copyright Act, 1957 (India) and applicable international treaties.

• You are granted a limited, non-exclusive, non-transferable, revocable licence to access enrolled course content solely for personal, non-commercial use.
• You may not copy, reproduce, distribute, republish, download, display, post, transmit, or sell any course material in any form or by any means.
• Reverse-engineering, screen-recording, or creating derivative works from our frameworks is strictly prohibited.
• Violations will be subject to civil and criminal proceedings under applicable Indian law.

5. Course Access & Enrolment

Upon successful payment, you are granted access to the specific course(s) you have enrolled in, subject to the following conditions:

• Access is lifetime for the enrolled cohort, unless your account is terminated for a breach of these Terms.
• We reserve the right to update, modify, or remove course content to keep frameworks current. Material changes will be communicated via email.
• Course access does not grant access to live mentorship sessions, private communities, or supplementary cohort events unless explicitly stated on the course page.
• We do not guarantee uninterrupted access due to maintenance, server downtime, or force majeure events.

6. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws.
• Upload, post, or transmit any content that is defamatory, obscene, fraudulent, or infringes any third-party rights.
• Attempt to probe, scan, or test the vulnerability of our systems or breach any security measures.
• Use automated tools (bots, scrapers, crawlers) to access or extract data from the Platform.
• Impersonate any person or entity or misrepresent your affiliation.
• Engage in any conduct that could damage our reputation or the experience of other users.

7. Payments & Pricing

All transactions are processed securely through Razorpay, a PCI-DSS-compliant payment gateway. By making a purchase, you agree to Razorpay's terms and conditions.

• All prices are listed in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise.
• We reserve the right to change pricing at any time. Price changes will not affect already-completed purchases.
• In the event of a payment failure, no course access will be granted until payment is confirmed.
• Duplicate charges due to technical errors must be reported within 48 hours to support@sparqacademy.in.

8. Refunds & Cancellations

Refunds are governed by our Refund Policy and Cancellation Policy, available on this Platform. In summary:

• A 7-day refund window applies, subject to eligibility criteria (less than 20% content consumed).
• Accounts terminated for Terms violations are not eligible for any refund.
• Approved refunds are processed within 5–7 business days via the original payment method.

9. Certificates

Upon completing a course, you may receive a Sparq Academy Completion Certificate. These certificates:

• Are issued solely by Sparq IT Services (India) and do not represent accreditation by any government body or university.
• Are tied to your account and cannot be transferred or reissued to another person.
• May be revoked if it is determined that completion was achieved fraudulently.

10. Disclaimer of Warranties

The Platform and all content are provided on an "as is" and "as available" basis without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be error-free, uninterrupted, or free of viruses.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Sparq IT Services (India) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of your use of the Platform or these Terms.

Our total aggregate liability to you for any claim shall not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Sparq IT Services (India) and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, and expenses (including reasonable legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in Lucknow, Uttar Pradesh, India.

14. Changes to These Terms

We reserve the right to update these Terms at any time. We will provide notice of material changes via email or a prominent notice on the Platform at least 7 days before the changes take effect. Continued use of the Platform after the effective date constitutes your acceptance of the revised Terms.
