Terms of Service

1. Acceptance of Terms

By accessing or using Sparq Academy (the "Platform") at https://www.sparqacademy.in, operated by Sparq IT Services (India) ("we", "our", or "Company"), you confirm that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms constitute a legally binding agreement between you and Sparq IT Services (India) under the Information Technology Act, 2000 and its applicable rules.

2. What We Offer

These Terms govern three distinct offerings. Where a clause applies to only one of them, it says so.

• Online courses and bundles — self-paced digital content purchased once and accessed through your Learning Dashboard.
• Membership subscription — recurring monthly or annual access to the course library, billed automatically until cancelled.
• Offline coaching programmes — fixed-duration, in-person classroom batches with limited seats, delivered at our Lucknow centre. Coaching admissions begin with a free counselling session and are confirmed only after a seat is allotted and fees are paid.

3. Eligibility

To use this Platform, you must:

• Be at least 18 years of age, or have obtained verified parental/guardian consent.
• Have the legal capacity to enter into a binding contract under Indian law.
• Not be barred from receiving services under applicable law.

For offline coaching, a student under 18 may be admitted only where a parent or lawful guardian completes the admission, accepts these Terms, and remains responsible for fees and conduct.

By registering, you represent and warrant that all information you provide is accurate, current, and complete.

4. Account Registration & Security

Sparq Academy uses Google OAuth for secure authentication. By registering, you authorise us to retrieve your basic profile information (name, email, profile picture) from Google solely for account creation purposes.

• You are solely responsible for maintaining the confidentiality of your account.
• You must notify us immediately at support@sparqacademy.in of any unauthorised access.
• One account per individual. Creating multiple accounts to circumvent access restrictions or bans is prohibited.
• Account sharing, credential resale, or group-buying access to any course is strictly prohibited and will result in immediate permanent account termination without refund.

5. Intellectual Property Rights

All content on this Platform and in our classrooms — including but not limited to course videos, execution frameworks, SOPs, Notion templates, worksheets, slide decks, written materials, branding, and software — is the exclusive intellectual property of Sparq IT Services (India) and is protected under the Copyright Act, 1957 (India) and applicable international treaties.

• You are granted a limited, non-exclusive, non-transferable, revocable licence to access enrolled content solely for personal, non-commercial use.
• You may not copy, reproduce, distribute, republish, download, display, post, transmit, or sell any course material in any form or by any means.
• Reverse-engineering, screen-recording, or creating derivative works from our frameworks is strictly prohibited.
• Recording of offline classroom sessions — audio, video, or photographic — is not permitted without our prior written consent.
• Violations will be subject to civil and criminal proceedings under applicable Indian law.

6. Online Course Access & Enrolment

Upon successful payment, you are granted access to the specific course(s) or bundle(s) you have enrolled in, subject to the following conditions:

• Access is lifetime for the enrolled cohort, unless your account is terminated for a breach of these Terms.
• We reserve the right to update, modify, or remove course content to keep frameworks current. Material changes will be communicated via email.
• Course access does not grant access to live mentorship sessions, private communities, offline batches, or supplementary cohort events unless explicitly stated on the course page.
• We do not guarantee uninterrupted access due to maintenance, server downtime, or force majeure events.

7. Membership Subscriptions

Membership plans are billed on a recurring basis through Razorpay under an e-mandate you authorise at sign-up. By subscribing, you agree that:

• Your plan renews automatically at the end of each billing period (monthly or annual) at the then-current price, until you cancel.
• Razorpay will notify you in advance of each recurring debit, as required by RBI e-mandate rules.
• You may cancel at any time; cancellation stops future renewals and takes effect at the end of the period you have already paid for. See our Cancellation Policy.
• Library access provided under a membership ends when the subscription ends. It is not lifetime access, and it does not convert into ownership of the courses.
• If a recurring payment fails, we may suspend membership access until payment succeeds.
• Courses purchased outright before or during a membership remain yours and are unaffected by cancellation.

8. Offline Coaching Programmes

Offline coaching is delivered in person at Office No. 53 UGF, Prime Plaza, Munshipulia Chouraha, Sector 16, Indira Nagar, Lucknow, Uttar Pradesh 226016. The following terms apply in addition to the rest of these Terms.

• Enquiry is not admission. Submitting the enquiry form books a free counselling session only. No seat is reserved and no payment is due at that stage.
• Admission is confirmed only when a seat is allotted to you in a specific batch and the applicable fee (or the first agreed instalment) is received.
• Fees shown on the website are indicative and are confirmed in writing during counselling. The confirmed fee, batch, schedule, and payment terms recorded at admission prevail over any figure displayed on a marketing page.
• Coaching fees are not collected through the website checkout. They are invoiced and collected directly, and a receipt is issued for every payment.
• Batch sizes are capped (currently a maximum of five students). Seats are allotted in order of confirmed admission.
• Schedule changes: we may reschedule an individual session on reasonable notice, and will run a replacement session for any session we cancel.
• If we cancel a batch outright before it starts, you may transfer to the next batch or receive a full refund of fees paid for that programme.
• Attendance: the programme is progressive and each session builds on the last. Missed sessions are your responsibility; we are not obliged to repeat a session individually, and missed sessions do not extend the programme or reduce the fee.
• Conduct on our premises: you agree to follow reasonable centre rules and to behave respectfully towards trainers, staff, and other students. We may remove a student from a batch for harassment, threats, damage to property, intoxication, or persistent disruption — without refund.
• Personal belongings brought to the centre remain your responsibility.

9. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws.
• Upload, post, or transmit any content that is defamatory, obscene, fraudulent, or infringes any third-party rights.
• Attempt to probe, scan, or test the vulnerability of our systems or breach any security measures.
• Use automated tools (bots, scrapers, crawlers) to access or extract data from the Platform.
• Submit false, spam, or automated coaching enquiries, or another person contact details without their consent.
• Impersonate any person or entity or misrepresent your affiliation.
• Engage in any conduct that could damage our reputation or the experience of other users.

10. Payments & Pricing

Online transactions are processed securely through Razorpay, a PCI-DSS-compliant payment gateway. By making a purchase, you agree to the Razorpay terms and conditions.

• All prices are listed in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise.
• We reserve the right to change pricing at any time. Price changes will not affect already-completed purchases; for subscriptions, a price change applies from your next renewal and will be notified in advance.
• In the event of a payment failure, no course access will be granted until payment is confirmed.
• Duplicate charges due to technical errors must be reported within 48 hours to support@sparqacademy.in.
• Offline coaching fees are handled outside the website checkout, as described in Section 8.

11. Refunds & Cancellations

Refunds are governed by our Refund Policy and Cancellation Policy, available on this Platform. In summary:

• Online courses and bundles: a 7-day refund window, subject to eligibility criteria (less than 20% content consumed).
• Subscriptions: cancel any time to stop future renewals; part-used billing periods are not refunded.
• Offline coaching: a sliding scale based on how much of the batch has run, set out in the Refund Policy.
• Accounts or admissions terminated for Terms violations are not eligible for any refund.
• Approved refunds are processed within 5–7 business days via the original payment method.

12. Certificates

Upon completing a course or coaching programme, you may receive a Sparq Academy Completion Certificate. These certificates:

• Are issued solely by Sparq IT Services (India) and do not represent accreditation by any government body, university, or statutory authority.
• Are tied to your account and cannot be transferred or reissued to another person.
• May be revoked if it is determined that completion was achieved fraudulently.

13. No Guarantee of Outcomes

We teach skills; we do not sell outcomes. We do not guarantee employment, placement, internships, freelance clients, income, or business results from any course, membership, or coaching programme, and no member of our team is authorised to promise one. Our full position on this is set out in our Disclaimer, which forms part of these Terms.

14. Disclaimer of Warranties

The Platform and all content are provided on an "as is" and "as available" basis without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be error-free, uninterrupted, or free of viruses.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Sparq IT Services (India) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of your use of the Platform or these Terms.

Our total aggregate liability to you for any claim shall not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits any liability that cannot be limited under applicable Indian law, including under the Consumer Protection Act, 2019.

16. Indemnification

You agree to defend, indemnify, and hold harmless Sparq IT Services (India) and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, and expenses (including reasonable legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

17. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including internet or hosting failures, payment gateway outages, power failure, fire, flood, epidemic, civil unrest, strike, or any order of a government or statutory authority. Where such an event prevents offline sessions from running, we will reschedule them or move the affected sessions online.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation by writing to support@sparqacademy.in. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in Lucknow, Uttar Pradesh, India.

19. Severability & Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full force. These Terms, together with our Privacy Policy, Refund Policy, Cancellation Policy, Shipping & Delivery Policy, and Disclaimer, constitute the entire agreement between you and us regarding the Platform.

20. Changes to These Terms

We reserve the right to update these Terms at any time. We will provide notice of material changes via email or a prominent notice on the Platform at least 7 days before the changes take effect. Continued use of the Platform after the effective date constitutes your acceptance of the revised Terms.
